Terms of Service

DRAFT v0.1
Last updated 2026-10-02

Summary

  • Accounting Workbench is a document-processing and bookkeeping-assistance tool — it is not an accountancy, tax, audit or legal service.
  • AI output is a suggestion only and must be reviewed by a competent person before it is relied upon or filed.
  • You are responsible for the documents you upload and for the accuracy of the final entries you export.
  • Sections marked “Legal review required” are draft assertions that need qualified sign-off.

1. The agreement

Legal review required

These terms govern your access to and use of Accounting Workbench, operated by [COMPANY_LEGAL_NAME] of [REGISTERED_ADDRESS]. By creating an account or using the service you agree to these terms.

If you use the service on behalf of an organisation, you confirm you are authorised to bind that organisation to these terms.

2. The service

Accounting Workbench accepts uploaded financial documents, extracts and categorises transactions using AI assistance, routes entries for review, and produces export files such as double-entry journal CSVs.

The service is a tool. It does not provide accountancy, tax, audit, legal or investment advice, and it does not file anything with any tax authority or accounting platform on your behalf. Any professional obligation to review, verify or advise on the output remains with you or your practice.

3. Accounts and organisations

  • You must provide accurate account information and keep your credentials secure.
  • Each organisation is an isolated tenant. You must not attempt to access another organisation’s data.
  • You are responsible for the users you invite and for the roles and review policies you configure.

4. Credits, fees and refunds

Legal review required

Processing is consumed in credits. Credits are purchased in advance and prices are displayed in the application before purchase. Prices are shown in [PRICE_CURRENCY] and may change for future purchases.

Credit consumption depends on the volume and type of documents processed. Unused credits do not expire unless stated otherwise at purchase.

Refunds, chargebacks and credit-expiry treatment are governed by [REFUND_POLICY], which must be finalised with legal and finance input before launch.

5. Your data and responsibilities

You retain ownership of the documents you upload and the data you create. You grant us the limited rights needed to process that data to provide the service.

You are responsible for having a lawful basis to upload the personal and financial data contained in your documents, including any third-party data.

You must not upload unlawful content or data you are not permitted to process.

6. AI output and human review

Legal review required

AI categorisation is probabilistic and can be wrong. Confidence scores are indicators, not guarantees. The service provides review tooling, and organisations can configure policies such as four-eyes approval or manual-only review.

You must review AI-generated or AI-assisted entries before relying on them, exporting them, or using them for tax, statutory or management reporting. Accounting Workbench is not responsible for losses arising from unreviewed or mis-categorised output.

7. Acceptable use

  • Do not attempt to disrupt, reverse engineer or gain unauthorised access to the service or other tenants’ data.
  • Do not use the service to process data you have no right to process.
  • Do not use the service in breach of applicable law or of your professional obligations.

8. Availability and support

Legal review required

We aim to keep the service available but do not promise uninterrupted access. Any service-level commitment applies only where it is separately agreed in writing. Support arrangements and response targets must be confirmed as [SUPPORT_TERMS].

9. Intellectual property

We and our licensors own the service, including its software, design and documentation. These terms do not transfer ownership of the service to you. You receive a non-exclusive, non-transferable right to use the service in accordance with these terms.

10. Disclaimers and limitation of liability

Legal review required

To the maximum extent permitted by law, the service is provided “as is” and we exclude implied warranties that are not expressly stated. Nothing in these terms excludes liability that cannot lawfully be excluded.

Subject to that, our aggregate liability arising from or relating to the service is limited to [LIABILITY_CAP]. The appropriate cap, and any exclusions or carve-outs, must be set during legal review.

11. Termination

You may stop using the service at any time. We may suspend or terminate access for material breach of these terms, non-payment, or where required by law. On termination, data is handled in line with the Privacy Policy and any applicable retention obligations.

12. Governing law and disputes

Legal review required

These terms are governed by the laws of [GOVERNING_JURISDICTION], and the courts of that jurisdiction have exclusive jurisdiction over disputes, unless mandatory consumer law provides otherwise. The governing jurisdiction must be confirmed during legal review.

13. Contact

Legal review required

Questions about these terms can be sent to [CONTACT_EMAIL].

Legal wording is maintained in lib/legal/ as structured data so it can be reviewed and replaced without code changes. See docs/operations-runbook.md for the sign-off and publication process.
